Corporate Counsel

Reports To: Vice President, Strategy & Finance

Summary and Scope:

We are seeking a highly motivated and experienced Corporate Counsel to join our dynamic team at Tempest Therapeutics. This job will play an important role in providing a wide range of legal services, including negotiating and executing agreements, contracts, licenses, and transactional documents, ensuring compliance with all applicable laws and regulations, and supporting our business objectives. You will have the opportunity to work alongside talented scientists, researchers, and business leaders, contributing directly to the advancement of innovative therapies that improve patient lives. The position will report to our Head of G&A/Vice President, Strategy & Finance.

Responsibilities

(not limited to the below and may evolve over time and change depending on business needs and individual expertise)

  • Oversee all aspects of contracts management, including drafting, reviewing, negotiating, and managing clinical trial agreements, CDAs and NDAs, business contracts, securities offerings, and other agreements.
  • Serve as a trusted legal advisor to senior management and various business units, providing guidance on contracts, securities, compliance, governance, intellectual property, and other legal matters.
  • Play a key role in ensuring compliance with SEC reporting requirements, including drafting, reviewing, and filing periodic reports, proxy statements, and other SEC filings.
  • Stay current on relevant legal developments in the biotechnology industry, including FDA regulations, intellectual property law, and corporate governance best practices.
  • Proactively identify and mitigate legal risks, partnering with cross-functional teams to develop and implement effective legal strategies.
  • Represent the company in interactions with external parties such as regulators, investors, and business partners.

Education & Experience

  • JD degree from a top accredited law school and minimum of 5-8 years of relevant legal experience, preferably representing clients in the biotechnology industry.
  • Current license to practice in CA / Bar member in good standing
  • Proven track record of success in managing complex legal matters, with expertise in contracts and healthcare law.
  • Familiarity with FDA regulations and clinical trial agreements.
  • Experience with SEC reporting requirements and public company governance.
  • Knowledge of public company securities law preferred, but not required.

Tempest Therapeutics, Inc. anticipates the base salary for the Corporate Counsel position in our Brisbane, CA office to range from $250,000 to $300,000 and will depend on current market data and the candidate’s qualifications for the role, including education and experience. The compensation described above is subject to change and could be higher or lower than the range described based on several factors.
